1. Acceptance of Terms
By accessing or using the MES Platform ("the Service," "we," "us," or "our"), you agree to be bound by these Terms of Service. If you are accepting these terms on behalf of a school, educational institution, or other legal entity, you represent that you have the authority to bind such entity to these terms. If you do not agree to these terms, please do not use the Service.
2. Description of Service
The MES Platform provides a digital ecosystem designed to connect schools, teachers, students, and parents. It includes features for administration, scheduling, attendance tracking, communication, and fee management. We reserve the right to modify, update, or discontinue features of the Service at any time without prior notice.
3. Account Security and User Responsibilities
- Account Registration: You agree to provide accurate, current, and complete information during the registration process, including a valid phone number.
- Confidentiality: You are responsible for safeguarding your password and any other credentials used to access the Service. You agree not to disclose your password to any third party.
- Account Activity: You are solely responsible for all activities that occur under your account, whether or not you authorized that activity. You must immediately notify us of any unauthorized use of your account.
- Acceptable Use: You agree not to use the Service for any unlawful purpose, to transmit spam or malicious code, or to interfere with the operation and security of the Service.
4. Communications and SMS (Explicit Consent)
By registering for an account and providing your phone number, you explicitly consent to receive transactional text messages (SMS) from the MES Platform. These messages are integral to the security and operation of the Service.
Such communications may include, but are not limited to:
- One-Time Passwords (OTPs) for account verification and secure login.
- Critical security alerts regarding your account activity.
- Routine school notifications configured by your institution (e.g., employee check-in reminders, absence alerts, automated schedule changes).
Opt-Out: You acknowledge that standard text message and data rates applied by your mobile carrier may apply. You may opt-out of receiving non-essential messages by updating your preferences in your account settings. However, opting out may impact your ability to use certain security features of the Service that rely on OTP verification.
5. Data Privacy and Ownership
- Your Data: We claim no intellectual property rights over the data, materials, or profile information you provide to the Service. As between us and the subscribing school, the school retains full ownership of its student records and administrative data.
- Privacy Policy: Our collection and use of personal information in connection with the Service are described in our Privacy Policy, which is incorporated by reference into these Terms.
6. Intellectual Property
The MES Platform, including its original content, features, functionality, design, algorithms (such as the AI Scheduling models), and source code, are and will remain the exclusive property of our company and its licensors. You may not copy, modify, distribute, sell, or lease any part of our Service or included software, nor may you reverse engineer or attempt to extract the source code of that software.
7. Subscriptions, Fees, and Payments
Access to certain premium or administrative features of the Service (e.g., AI Training or Advanced Fee Management) may require a paid subscription.
- Billing: If you purchase a subscription on behalf of an institution, you are responsible for paying all applicable fees.
- Renewals: Unless explicitly stated otherwise, subscriptions automatically renew at the end of the billing cycle.
- Third-Party Payments: Payments processed through third parties (like Bakong integrations) are subject to the terms and conditions of those respective payment processors.
8. Limitation of Liability & Disclaimers
- "As Is" Basis: The Service is provided on an "AS IS" and "AS AVAILABLE" basis. We expressly disclaim any warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee that the Service will function without interruption, errors, or delays.
- Limitation: In no event shall we, nor our directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any unauthorized access, use or alteration of your transmissions or content.
9. Termination
We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.
10. Governing Law
These Terms shall be governed and construed in accordance with the laws of the Kingdom of Cambodia, without regard to its conflict of law provisions.
